CONNECT MIDLANDS
Showcasing Events – Agreement for Participating Companies
 
For the purpose of the agreement, the term “company” can also include individuals, sole traders or partnerships.
 
  1. The event covered by this agreement is : Conect Midlands Investment Conference
     
  2. The Company may attend the Event and will have the facilities and opportunities summarised below unless otherwise informed:
    • Space and facilities to make a slide presentation to investors and other delegates
    • Space in the exclusive company exhibition area along with a stand
    • Space to set out details of the investment opportunity in a standard 2-page format in delegate packs
    • Entry and access to the complete event, for two people
    • The ability to meet investors and visitors who attend the Event; the Company is responsible for approaching visitors and investors present
    • General advice, guidance and rehearsal on presenting and pitching the Company at the Event

     
  3. In consideration of the facilities provided, the Company agrees to pay to Connect Midlands:
     
    a) a fee of £500 + VAT paid before the Event and
    b) an additional fee (exclusive of VAT) equal to 2%* (”Additional Fee”) of all funds raised, whether in the form of equity, debt, or grant, to be paid on an invoice being raised by Connect Midlands.
     
    The Additional Fee becomes payable in the event of the Company receiving an acceptable offer of finance, within 18 months following the Event , from an organisation or individual present at the Event or by a subsequent introduction by Connect Midlands . It is payable in all cases except where the Company have made prior written declaration below of a pre-existing funding agreement.

  4. General Terms & Conditions
    The Company will make their best efforts to co-operate with Connect Midlands to ensure that the Event is a success. The Company is responsible for ensuring that their presentation is of the highest possible quality.
    The Company will ensure that the person who presents at the Event has presented to at least one Connect Midlands assessment panel. Event presentations must be substantially the same as seen by the panel.
    The Company agrees to inform Connect Midlands within 14 days when an offer of investment of either equity, debt or grant finance is made into it (“the Investment”).
     
    If the Investment received by the Company is staged, then the Additional Fee shall be paid to Connect Midlands in the same stages, at the same time and in the same proportions as when the Investment is received.
     
    * The Additional Fee will be as shown above in paragraph C(b) unless an agreement under Connect InvoRed consultancy or similar is already in being or becomes operable during the tenure of this agreement and remains applicable; the additional fee payable will then be the largest of that shown in all agreements with Connect Midlands.
     
    The Company acknowledges that Connect Midlands shall not be liable in any way whatsoever in the event that Investment or the opportunity to meet satisfactory investors is not made available.
     
    The Company undertakes to indemnify Connect Midlands and University of Warwick against all claims of whatsoever nature arising from participation in the Connect Midlands programme or any investment arising therefrom.
     
    The Company undertakes to provide Connect Midlands with any reasonable information relevant to the provision of the above services and such information it may require in order to monitor the progress of any potential investment. The information will remain confidential and will not be divulged to any third party without the expressed agreement of the Company. However, the information supplied by the Company to Connect Midlands for inclusion in the delegate packs and information disclosed by the Company at the event cannot be deemed to be confidential.
     
    The Company accepts that Connect Midlands reserves the right to refuse registration at its discretion. In the case of this refusal, no fee will be payable by the Company.
     
    Connect Midlands is not authorised under the Financial Services and Markets Act (FSMA) to undertake regulated activity including specific investment advice concerning particular offers of investment. The Company should seek advice from an authorised person at the appropriate time.
     
    “Connect Midlands” means Connect Midlands at the University of Warwick, whose principal place of business is The Venture Centre, Sir William Lyons Road, Coventry CV4 7EZ.
